Terms and Conditions

1. Scope

These Terms and Conditions govern the contractual relationship between Tradegroup Swiss GmbH, Riestrasse 30, 8152 Glattbrugg (CHE-112.050.620, hereinafter “Gymalia”) and the users of the platform gymalia.com. By registering an account and by actively ticking the confirmation box during registration and when entering into a paid subscription, you accept these Terms in the version in force at the time the contract is concluded.

2. User Account

A user account is required for certain features (reviews, claiming a gym). You are responsible for the security of your account and all activities under it. Registration is permitted for persons aged 16 and above. Minors require the consent of their legal representatives. You undertake to provide truthful and complete information when registering and to keep this information up to date. Gymalia is entitled to temporarily suspend or delete accounts in the event of breaches of these Terms. You may delete your account at any time; on request, your reviews can either be retained in anonymised form or removed entirely.

3. Reviews

You are solely responsible for the content of your reviews. The following rules apply:

  • Reviews must be honest and based on your own personal experience with the gym in question.
  • Fake reviews, paid reviews, reviews by competitors, or reviews for gyms you have not visited are prohibited.
  • Strictly prohibited are, in particular: untrue statements of fact, abusive criticism, insults, racist, discriminatory or immoral content, as well as reviews that infringe the rights of third parties (personality, copyright, trademark rights) or provisions of the Swiss Unfair Competition Act (UWG).
  • Gymalia reserves the right to moderate, edit, suspend or remove reviews without prior notice.
  • You shall indemnify Gymalia against any and all third-party claims (including reasonable legal and procedural costs) arising from a breach of these obligations.
  • Gymalia operates a notice-and-takedown procedure: affected parties may report unlawful content to contact@gymalia.com. Gymalia will review reported content within a reasonable period and remove or block it where the complaint is justified.
  • You grant Gymalia a non-exclusive, royalty-free, worldwide, perpetual, transferable and sublicensable right of use to reproduce, distribute, make publicly available, edit (in particular crop, compress, translate), and incorporate the content into search results, social media posts, marketing materials and press releases as part of operating the platform.

4. Gym Operators

For gym operators who claim their studio on Gymalia, the following applies:

  • The claim process requires verification via a business email address.
  • Anyone claiming a gym warrants that they are authorised to legally represent that gym. Gymalia may request additional evidence (commercial register extract, power of attorney).
  • In the event of a knowingly false claim, the claimant shall owe a contractual penalty of CHF 2,000 in addition to compensation for any further damages.
  • Operators are responsible for the accuracy of any content they provide themselves.
  • False or misleading information may result in account suspension.

5. Photos & Copyright

The following rules apply to uploading photos:

  • Users retain the copyright in the photos they upload.
  • By uploading, you grant Gymalia a non-exclusive, royalty-free, worldwide, perpetual, transferable and sublicensable right of use to reproduce, distribute, make publicly available, edit (in particular crop, compress, translate), and incorporate the content into search results, social media posts, marketing materials and press releases as part of operating the platform.
  • Gymalia may display photos on the platform, in search results and on social media.
  • Your photos will only be passed on to third parties insofar as those parties are technically necessary processors (hosting, CDN, image optimisation) and within the scope of the licence above.
  • You warrant that you hold the rights to the photos you upload.
  • Gymalia reserves the right to remove photos without stating reasons.

6. Payments & Subscriptions

For paid gym subscriptions (Premium/Pro):

  • Payments are processed via Stripe.
  • Prices in CHF, including VAT.
  • Subscriptions renew automatically at the end of the respective term (monthly or yearly).
  • You may cancel at any time effective at the end of the current billing period via the customer portal.
  • Switzerland does not provide a statutory right of withdrawal for distance contracts. However, Gymalia grants gym operators a voluntary 14-day money-back guarantee on the first-time purchase of a Premium or Pro subscription, provided the subscription has not been used abusively during that period. The guarantee does not apply to renewals or to individually configured B2B packages.
  • Gymalia reserves the right to change prices with 30 days’ notice.

8. Disclaimer

Gymalia is liable only for intent and gross negligence; any further liability — in particular for slight negligence, consequential and indirect damages, lost profits and damages caused by third-party content — is excluded to the fullest extent permitted by law. Liability for auxiliary persons (hosting providers, Stripe, AI service providers) is excluded to the fullest extent permitted by law (Art. 101 para. 2 CO). Gymalia is purely an information and review platform and is not a contractual party between users and gyms. The respective gym is solely liable for its services, training offerings, contractual terms and any accidents on its premises. Descriptions of the listed gyms are partly generated with the help of AI services (Azure OpenAI); despite careful review, these may contain errors. Gymalia accepts no responsibility for the accuracy, completeness or timeliness of such content.

9. Changes to Terms

Gymalia may amend these Terms. Material changes will be announced at least 30 days before they take effect by email to the registered address. If you do not object within that period, the changes shall be deemed accepted. If you object, you have the right to terminate the contract free of charge with effect from the date the changes take effect, by way of extraordinary termination. You will be expressly informed of this consequence in the change notice.

10. Governing Law and Jurisdiction

Swiss law shall apply exclusively, to the exclusion of its conflict-of-laws rules and of the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Zurich, Switzerland. Mandatory places of jurisdiction, in particular those for the protection of consumers under Art. 32 and 35 of the Swiss Civil Procedure Code (ZPO), remain reserved.

11. Severability

Should individual provisions of these Terms be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to its economic purpose.

12. Prevailing Language

These Terms are available in German and English. In the event of any discrepancies or questions of interpretation, the German version shall prevail.

13. Force Majeure

Gymalia is not liable for delays or outages caused by force majeure, including power failures, DDoS attacks, cloud provider outages, natural disasters or governmental orders.
